2002 dodge intrepid 3.5 engine wont crank has new starter new battery all fuses and relays fine. all I hear is a click. please help.

Need just a little more info. Do you hear a click? Have you tried in neutral? Do the headlamps dim when you try to start it?

Assuming that the battery is good (I know you said you replaced it), fully charged, connections clean and tight, then I'm going to take a long shot and suspect the starter. The check engine light should go off once the engine starts.

I had the starter checked twice they said its fine. is there anything else i can look at?

Is the "click" from the starter itself? If so it probably isn't getting a good connection - full loop from and back to battery. Battery cable ends must be good at battery, at starter solonoid, and negative cable goes to engine block which must be good also. There are misc. grounding straps from engine/trans to body parts to enable body metal to be as ground. Doesn't really count for just the starter itself that much - more for ign/other issues.
If the "click" isn't from the starter itself we need to look further,

Battery new or not may not have much of a charge - charge it or jump it and see what happens.
To make starter turn engine it needs good battery new or not it must be charged, good cables and cable connections. Starter could still test off the car and spin but that isn't necessarily with the load of the engine to turn and isn't always indicative of a GOOD starter.
In which case you would look for excessive voltage drop.
So far you haven't proven the battery has enough amps (fully charged) to do squat so jump it or charge it first - then if it doesn't go we can narrow it down,
